Rhaina Terms of Service

You must be at least 18 years old and legally capable of entering into a binding agreement to use Rhaina.

By using the Service, you represent that you meet these requirements.

Certain features require an account or approved membership.

Rhaina may use an application or invitation process to determine membership. Submission of an application does not guarantee acceptance, and we reserve the right to approve, decline, suspend, or terminate membership consistent with these Terms and applicable law.

When creating or maintaining an account, you agree to provide accurate and reasonably current information.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. Please notify us promptly if you believe your account has been accessed without authorization.

Rhaina is designed to help members expand their networks, discover people beyond their existing circles, participate in communities, and develop personal and professional relationships.

Rhaina may use member-provided information, networking goals, matching scores, and other relevant signals to surface potential connections.

Matches, recommendations, introductions, or other suggestions are provided for informational and networking purposes. Rhaina does not guarantee compatibility, friendship, collaboration, referrals, business opportunities, financial results, or any particular outcome from a connection.

You are responsible for deciding whether, when, and how to interact with another member.

You agree to use Rhaina lawfully and respectfully.

You may not:

• Impersonate another person or misrepresent your identity or affiliation
• Harass, threaten, stalk, intimidate, or abuse another person
• Send spam or other unwanted bulk communications
• Use another member's information in a way that violates their privacy or applicable law
• Post unlawful, defamatory, fraudulent, obscene, or harmful material
• Infringe intellectual property or other rights belonging to another person
• Introduce viruses, malicious code, or other harmful technology
• Scrape, crawl, harvest, copy, or systematically collect member information using automated means without our written permission
• Attempt to gain unauthorized access to accounts, systems, or data
• Interfere with the security or operation of the Service
• Use Rhaina for unlawful, deceptive, fraudulent, or abusive purposes

The fact that another member is visible or accessible through Rhaina does not authorize you to misuse, sell, scrape, publish, or distribute that person's information.

Rhaina facilitates connections between people, but Reladium is not a party to relationships, communications, agreements, transactions, collaborations, referrals, or other arrangements between members.

Members are responsible for their own interactions and decisions.

You should use appropriate judgment before sharing sensitive information, entering into business arrangements, making introductions, meeting someone in person, or relying on information provided by another member.

We do not independently guarantee the identity, background, qualifications, conduct, representations, products, services, or trustworthiness of any member.

You may be able to submit profile information, photographs, posts, messages, comments, responses, and other material (“User Content”).

You retain ownership of your User Content.

By submitting User Content to Rhaina, you grant Reladium a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise use that content as reasonably necessary to operate, provide, improve, and promote the functionality of the Service.

You represent that you have the rights necessary to submit your User Content and allow us to use it as described in these Terms.

We may remove or restrict User Content that violates these Terms, creates safety or legal concerns, or otherwise materially interferes with the operation or integrity of the community.

Rhaina may provide Rooms or other spaces where members can participate in communities and conversations.

Additional community guidelines, membership requirements, or moderation practices may apply to particular spaces.

Community participation does not guarantee access to every Room or group within Rhaina. Access may depend on membership, invitation, approval, affiliation, or other criteria.

Rhaina may use matching scores or derived signals generated using SHEER relational intelligence.

Rhaina and SHEER are separate Reladium products. Completing or using SHEER in connection with Rhaina does not mean that Rhaina receives or stores your complete SHEER assessment responses or full SHEER profile.

Any separate use of SHEER may be subject to additional terms or policies applicable to that service.

Some Rhaina features may be free, while others may require payment or a subscription.

If you purchase a paid offering, applicable pricing, billing frequency, renewal terms, and other material conditions will be presented to you before purchase.

Unless otherwise stated at the time of purchase, recurring subscriptions automatically renew until canceled.

You may cancel according to the cancellation options provided through the Service or applicable payment provider. Cancellation generally prevents future renewals rather than retroactively refunding a current billing period, except where otherwise stated or required by law.

We may change prices or paid offerings from time to time. Where required, we will provide notice before changes apply to an existing recurring subscription.

The Service and its underlying software, design, branding, text, graphics, features, algorithms, technology, and other content provided by Reladium are owned by or licensed to Reladium and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of Rhaina, SHEER, Reladium technology, trademarks, or other intellectual property to you.

You may not reproduce, modify, distribute, sell, reverse engineer, or create derivative works from protected portions of the Service except as permitted by law or with our written permission.

You may stop using Rhaina at any time.

We may suspend, restrict, or terminate access to the Service if we reasonably believe you have violated these Terms, created a safety or security risk, engaged in unlawful or harmful conduct, or materially disrupted the Service or community.

Where appropriate, we may also remove content or restrict particular features rather than terminating an account.

Sections of these Terms that by their nature should survive termination will remain in effect.

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available.”

Reladium makes no guarantee that Rhaina will be uninterrupted, error-free, completely secure, or that matches, connections, community participation, introductions, or other use of the Service will produce any particular personal or business result.

To the fullest extent permitted by law, we disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Reladium and its affiliates, officers, directors, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Service.

This includes, where permitted by law, loss of profits, business opportunities, data, goodwill, or other intangible losses.

To the fullest extent permitted by law, Reladium's aggregate liability for claims arising from or relating to the Service will not exceed the amount you paid to Rhaina during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Reladium and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your misuse of the Service, your User Content, your violation of these Terms, or your violation of another person's rights.

Rhaina will continue to evolve. We may add, modify, suspend, or discontinue features or portions of the Service.

We may also update these Terms from time to time.

When we make material changes, we may provide notice through the Service, by email, or by posting updated Terms on our website.

Your continued use of the Service after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be subject to the applicable state or federal courts with jurisdiction over the dispute, except where applicable law provides otherwise.
